Welcome to grassvalley.app (the "site"), operated by Skylab Studio LLC, a California limited liability company ("Skylab Studio", "we", "us"). These Terms & Conditions ("Terms") govern your access to and use of grassvalley.app, including the community feed, events, business directory, and chatrooms. By creating an account, posting content, or otherwise using the site, you agree to these Terms. If you do not agree, do not use the site.
1. Who can use grassvalley.app
You must be at least 13 years old to create an account. Some features (such as the 18+ chatroom) require additional age verification. By using the site you represent that the information you provide is accurate and that you have the legal capacity to enter into these Terms.
2. Your account
You are responsible for safeguarding your login credentials and for any activity that occurs under your account. Notify us immediately at the contact page if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms.
3. User content
You retain ownership of the posts, photos, event listings, business descriptions, claims, and chat messages you submit ("User Content"). By submitting User Content, you grant grassvalley.app a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and distribute it for the purpose of operating and promoting the site.
You are solely responsible for your User Content. You represent that you own it or have the rights necessary to grant the license above, and that it does not violate any law or third-party right.
4. Community rules
You agree not to post or transmit content that:
- is unlawful, threatening, harassing, defamatory, or hateful;
- incites violence or targets people based on protected characteristics;
- sexualizes minors or violates the family-friendly nature of the general feed;
- infringes intellectual property or privacy rights;
- is spam, scam, phishing, or unsolicited advertising;
- misrepresents your identity, affiliation, or a business you do not control.
4a. No illegal activity
Illegal activity of any kind is not tolerated on grassvalley.app. This includes, without limitation: arranging or promoting the sale or distribution of controlled substances, weapons, or stolen goods; solicitation of prostitution or trafficking; sharing CSAM or non-consensual intimate imagery; fraud, scams, money laundering, or unauthorized access to computer systems; coordinating violence, threats, stalking, or harassment; or any other conduct that violates local, state, or federal law. Posts, messages, clubs, meetups, events, listings, and chat activity are all subject to this rule.
If you post, organize, or facilitate illegal activity on the site, we may immediately remove the content, suspend or permanently ban your account, block your devices, and report you and your activity to law enforcement. We may preserve and disclose account information and content as required by law or to protect the safety of our community. You are solely responsible for your conduct and any legal consequences that follow.
5. Chatrooms
The site offers two chatrooms: a family-friendly room open to all signed-in users, and an 18+ room available only to users who confirm a date of birth indicating they are 18 or older. By entering the 18+ room, you affirm you are an adult and accept that conversation there may include mature themes within the limits of these Terms. We may remove messages and revoke chat access at our discretion.
5a. Direct messages
The site provides one-to-one direct messages ("DMs") between signed-in members. DMs are private to the participants, but they are not end-to-end encrypted: messages are stored on our infrastructure and may be reviewed by moderators or staff when reported, when required by law, or to investigate violations of these Terms. You agree not to use DMs to harass, threaten, scam, or send unlawful content, and you accept that the rules in Sections 4 and 4a apply to private messages just as they do to public posts.
5b. Clubs and meetups
Members may create clubs (long-running interest groups) and meetups (one-off gatherings). Organizers are responsible for the conduct of their club or meetup, for honoring stated rules, and for any in-person activity that takes place. grassvalley.app does not host, supervise, or insure in-person gatherings; participation is at your own risk. We may remove clubs, meetups, or members at our discretion, especially where safety or these Terms are at stake.
6. Business listings & claims
The directory may contain business information collected from public sources, including names, addresses, hours, and photos retrieved via third-party APIs (for example, Google Places). Listing a business does not imply endorsement. Owners may submit a claim to take ownership of a listing; approval is at our discretion and may require verification. Approved owners can edit their listing but may not impersonate other businesses or post misleading information. Business phone numbers are shown only to signed-in members.
6a. Advertising and sponsored content
Businesses may pay for featured placement in the feed, directory, or category pages. Sponsored content is labeled as such. Advertisers are responsible for the accuracy of their advertisements and for complying with applicable advertising laws. We reserve the right to refuse or remove any advertisement.
6b. Moderation team
The site is moderated by a volunteer team of locals and by staff. Moderators may remove content, restrict accounts, and access reported material in the course of their duties. Moderator status is granted at our discretion and may be revoked at any time. Abuse of moderator privileges will result in removal and may result in account termination.
7. Moderation
We may, but are not obligated to, review, edit, refuse, or remove any User Content at any time and without notice. We may suspend or terminate accounts that repeatedly violate these Terms or applicable law.
8. Intellectual property
The site's name, logo, design, and original content (excluding User Content) are owned by grassvalley.app and protected by intellectual property laws. You may not copy, modify, or create derivative works without our written permission.
9. Disclaimers
The site is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not warrant that the site will be uninterrupted, error-free, or secure, or that listings, events, businesses, reviews, or User Content are accurate, complete, or current. You use the site, and rely on any content on it, at your own risk.
9a. No professional advice
Nothing on grassvalley.app is intended as medical, legal, financial, mental-health, safety, or other professional advice. Posts, comments, club discussions, and chat messages reflect the opinions of their authors only. Always consult a qualified professional before acting on anything you read here.
9b. Assumption of risk for in-person activity
Events, meetups, clubs, business listings, and any other content on the site may lead to in-person interaction. grassvalley.app does not host, sponsor, supervise, vet, background-check, or insure any person, organizer, business, venue, or gathering. You voluntarily assume all risk of personal injury, property loss, illness, emotional harm, or other damage arising from any in-person activity, communication, transaction, or relationship that begins or is facilitated through the site. You agree to exercise your own judgment about who to meet, where to go, and what to do.
10. Limitation of liability
To the maximum extent permitted by law, grassvalley.app, its owners, operators, volunteers, moderators, employees, contractors, and affiliates (collectively, "Operators") are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the site, your inability to use the site, any User Content, or any in-person activity originating from the site, even if we have been advised of the possibility of such damages. To the extent any liability cannot lawfully be excluded, the Operators' total aggregate liability to you for all claims arising out of or related to the site shall not exceed one hundred U.S. dollars ($100) or the amount you paid us in the twelve months preceding the claim, whichever is greater.
11. Indemnification
You agree to defend, indemnify, and hold harmless the Operators from and against any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of or conduct on the site; (c) your violation of these Terms or any law; (d) your violation of any third-party right; or (e) any in-person interaction or transaction involving you that began on the site.
11a. Release of claims
You hereby release the Operators from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with disputes between you and any other user of the site (including any in-person meeting or transaction). If you are a California resident, you waive the protections of California Civil Code §1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release."
12. Termination and right to discontinue the site
We may suspend, restrict, or terminate your access to the site, or any feature of it, at any time and for any reason or no reason, with or without notice. We may also modify, suspend, or permanently discontinue all or any part of the site (including shutting it down entirely) at any time, without liability to you. Sections that by their nature should survive termination (including 3 last sentence, 9–11a, 13–17) survive.
12a. Right to shut down for community safety
grassvalley.app is a community space, not an entitlement. If we determine, in our sole discretion, that the site, any feature, any user, group, club, meetup, chatroom, listing, or thread is being used to harm, exploit, endanger, harass, defraud, or take advantage of our community — or of any individual member of it — we reserve the absolute right to take immediate action, including without limitation: removing content; suspending, banning, or deleting accounts and their associated data; disabling features; locking chatrooms; pausing the site; or shutting the entire site down, permanently, at any time, without prior notice and without liability to you or any third party. Skylab Studio LLC makes no promise that the site will remain available, and you acknowledge that protecting the safety and integrity of this community will always take priority over preserving any individual account, post, feature, or service.
13. DMCA / copyright
We respect intellectual property rights. If you believe content on the site infringes your copyright, follow the procedure on the DMCA page to submit a takedown notice. Repeat infringers will have their accounts terminated.
14. Dispute resolution — arbitration and class-action waiver
You and grassvalley.app agree that any dispute, claim, or controversy arising out of or relating to these Terms or the site will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, seated in Nevada County, California, instead of in court, except that either party may bring a claim in small-claims court if it qualifies. YOU AND GRASSVALLEY.APP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If this class-action waiver is found unenforceable, then the entirety of this Section 14 is null and void, but the rest of these Terms remain in effect. You may opt out of this arbitration agreement by sending written notice through the contact page within thirty (30) days of first accepting these Terms.
15. Governing law and venue
These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. Subject to Section 14, any dispute not subject to arbitration will be resolved exclusively in the state or federal courts located in Nevada County, California, and you consent to the jurisdiction of those courts.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of the site after changes means you accept the revised Terms.
17. Miscellaneous
These Terms, together with the Privacy Policy, Community Guidelines, and DMCA Policy, are the entire agreement between you and us regarding the site. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may.
